These Terms and Conditions ("Terms") govern your access to and use of the ZEEVAA website, mobile apps, voice and AI chat services, APIs, and related products and services (collectively, the "Platform") operated by Ariz Rizvi Real Estate Limited ("ZEEVAA", "we", "us", or "our") in the United Kingdom.
By accessing or using the Platform you agree to these Terms and our UK Privacy Statement. If you do not agree, do not use the Platform.
These Terms do not affect your statutory rights as a consumer under UK law, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 ("CCRs").
1. Definitions and Scope of Services
- Platform Services — property search, listings, semantic search, map/list browsing, 3D/AR walkthroughs, AVM and analytics, transaction workflows, document handling, STP integrations, marketplace and property management features, and related tools described on the Platform.
- Users — includes Buyers, Renters, Sellers, Developers, Investors, Agents, and Vendors.
- Subscription Services — paid features and access tiers for inventory owners, builders, developers, and institutional users as described in Section 4.
- Consumer — an individual acting for purposes wholly or mainly outside their trade, business, craft or profession, as defined in the Consumer Rights Act 2015.
2. Eligibility and Accounts
- Eligibility — you must be at least 18 years old and able to enter into a legally binding contract under English law to use paid services.
- Account Registration — you must provide accurate information and keep account credentials secure. You are responsible for all activity under your account.
- Buyer Passport and Financial Data — by providing financial documents or Open Banking tokens (via FCA-authorised Account Information Service Providers) you consent to processing for STP, mortgage and affordability checks as described in our UK Privacy Statement. Where required, we will also carry out KYC/AML checks under the Money Laundering Regulations 2017 and Right to Rent checks under the Immigration Act 2014.
3. Acceptable Use and Content
- User Content — you retain ownership of content you submit (listings, images, descriptions). You grant ZEEVAA a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, modify, adapt and use that content for the purpose of providing, operating and improving the Platform. This licence ends when you remove your content, except to the extent retention is necessary for legal, regulatory or backup purposes.
- Prohibited Conduct — you must not: upload illegal, defamatory, fraudulent or misleading content; infringe third-party intellectual property, privacy or other rights; attempt to reverse engineer, decompile or disassemble Platform components (except to the extent permitted by section 50B of the Copyright, Designs and Patents Act 1988); use the Platform in breach of the Computer Misuse Act 1990; or use AI features to generate unlawful, harmful, discriminatory or infringing content.
- Moderation — ZEEVAA may remove, restrict or refuse access to content that violates these Terms or applicable law, including obligations under the Online Safety Act 2023.
4. Pricing, Subscriptions, and Billing
- Subscription Model — pricing for inventory owners, builders and institutional users is offered on a subscription basis. Subscriptions grant access to tiers of Platform functionality (listing syndication, builder dashboards, lead management, AVM/API access, marketplace publishing, property management tools, and enterprise features).
- Billing — subscriptions are billed in advance on a recurring basis (monthly or annual) as selected at signup. Fees, billing cycles, auto-renewal terms and the total price are displayed clearly before purchase, in line with the CCRs.
- Free Trials and Promotions — any trial period or promotional pricing is subject to the terms shown at signup. If you do not cancel before the trial ends, you will be charged the applicable subscription fee. We will remind you in advance where required by law.
- 14-Day Cooling-Off Right (Consumers Only) — if you are a consumer, you have the right under the CCRs to cancel your subscription within 14 days of entering into the contract, without giving a reason. To exercise this right, contact us at contact@zeevaa.ai or use the cancellation form available on the Platform. If you have asked us to begin supplying digital content or services during the cooling-off period, you accept that you may lose your right to cancel once performance has begun (for digital content) or may be charged for services already provided up to the point of cancellation.
- Refunds and Cancellations — outside the statutory cooling-off period, cancellations take effect at the end of the current billing period. Refunds are provided only where required by law (including under the Consumer Rights Act 2015 where Platform Services are not provided with reasonable care and skill, or are not as described) or as expressly stated in your subscription terms.
- VAT and Taxes — all fees are stated exclusive of VAT unless otherwise indicated. VAT will be charged at the applicable UK rate. You are responsible for any other applicable taxes.
- Future Subscription Rules — we will update these Terms to reflect the new subscription contract regime under the Digital Markets, Competition and Consumers Act 2024 (DMCCA) once the relevant provisions come into force (currently expected in 2027), including the enhanced pre-contract information, reminder notices and easy-exit requirements.
5. Payment Methods and Third Parties
- Payment Processing — payments are processed by FCA-regulated third-party payment processors. By subscribing you authorise such processors to charge your chosen payment method.
- STP and Financial Integrations — where you connect financial institutions or provide Open Banking tokens for straight-through processing, you authorise ZEEVAA to share necessary data with FCA-authorised financial partners to complete transactions, affordability checks and AML/KYC verification, in accordance with the Payment Services Regulations 2017 and the Money Laundering Regulations 2017.
6. AI Features, Disclaimers and Automated Decisions
- AI Outputs — Platform AI features (semantic search, AVM, yield analytics, recommendations, automated screening) provide estimates and suggestions only. They do not constitute regulated financial, investment, mortgage, tax or legal advice under the Financial Services and Markets Act 2000 or any other UK legislation. You should obtain independent professional advice before making any property, financial or investment decision.
- Automated Decisions — certain eligibility checks and STP decisions may be made by solely automated means. Where such a decision produces legal or similarly significant effects for you, you have the right under Article 22 of the UK GDPR (as amended by the Data (Use and Access) Act 2025) to obtain meaningful information about the logic involved, request human intervention, express your point of view and contest the decision. - Model Training Opt-Out — you may opt out of having your data used to train our local AI models where permitted by law; see the UK Privacy Statement for details.
7. Intellectual Property
- Our IP — ZEEVAA and its licensors retain all rights, title and interest in the Platform, software, trademarks, logos, designs and underlying technology, protected by the Copyright, Designs and Patents Act 1988, the Trade Marks Act 1994 and other applicable laws.
- User IP — you retain ownership of your user content. You grant ZEEVAA the licence described in Section 3 to operate the Platform.
- Feedback — any feedback, suggestions or ideas you provide may be used by ZEEVAA without obligation, compensation or attribution.
8. Privacy and Data Protection
- UK Privacy Statement — our UK Privacy Statement explains how we collect, use, share and protect personal data when you use the Platform, in accordance with the UK GDPR, the Data Protection Act 2018 (as amended by the Data (Use and Access) Act 2025) and PECR.
- UK Data Residency — personal data of UK users is stored and processed exclusively within the United Kingdom.
- No Sale of Personal Data — we do not sell personal data.
- Rights — you may exercise rights such as access, rectification, erasure, restriction, portability and objection where applicable, and you have the right to complain directly to us and to the Information Commissioner's Office (ICO). Contact contact@zeevaa.ai.
9. Warranties and Limitation of Liability
- Service Warranties (Consumers) — if you are a consumer, we provide Platform Services with reasonable care and skill, and any digital content as described, in line with the Consumer Rights Act 2015. Nothing in these Terms excludes or limits your statutory rights as a consumer.
- No Other Warranties — subject to the above, the Platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, conditions and representations, whether express or implied.
- Limitation of Liability — to the maximum extent permitted by law, our aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform is limited to the total subscription fees paid by you in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill, anticipated savings, data or opportunity.
- Exclusions — nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by sections 9–11 of the Consumer Rights Act 2015 (where you are a consumer); or (d) any other liability that cannot be excluded or limited under English law.
10. Termination and Suspension
- Termination by You — you may cancel your subscription at any time via your account settings or by contacting contact@zeevaa.ai. Cancellation takes effect at the end of the current billing period, without prejudice to your 14-day cooling-off right (see Section 4).
- Termination by ZEEVAA — we may suspend or terminate accounts for material breach of these Terms, fraudulent or unlawful activity, non-payment, or where required by law or regulator. Where reasonably practicable, we will provide notice and an opportunity to remedy the breach.
- Effect of Termination — on termination, your right to access the Platform ends. We may delete or retain data as required by law and our retention policy (see UK Privacy Statement, Section 6).
- Survival — Sections on Fees, Intellectual Property, Privacy, Warranties, Limitation of Liability, Governing Law and any other provisions intended to survive termination shall continue in effect.
11. Governing Law and Dispute Resolution
- Governing Law — these Terms and any non-contractual obligations arising from or in connection with them are governed by the laws of England and Wales.
- Jurisdiction — subject to your mandatory consumer rights, the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
- Alternative Dispute Resolution (Consumers) — before commencing court proceedings, we encourage you to contact us at contact@zeevaa.ai to attempt to resolve the dispute. If we cannot resolve it informally, consumer disputes may also be referred to a certified Alternative Dispute Resolution provider where applicable.
12. Changes to Terms
We may update these Terms from time to time. Where changes are material, we will give you reasonable advance notice (typically at least 30 days for paying subscribers) by email or in-Platform notification before they take effect. The "Last updated" date will be revised. If you do not agree to the changes, you may cancel your subscription before they take effect. Continued use of the Platform after the effective date constitutes acceptance.
